What is shadow AI?

Shadow AI refers to the use of AI tools within an organisation without formal approval, oversight, or visibility from leadership. Just as shadow IT described employees using personal cloud storage or messaging apps for work, shadow AI describes employees using ChatGPT, AI writing tools, or other AI applications with company data — outside any organisational governance framework.

Why it's a governance risk

The risk is not primarily that employees are using AI — most organisations actively want to increase AI adoption. The risk is that they're doing it without the organisation knowing: without data governance (what company data is being shared with external AI systems?), without quality controls (are AI outputs being used without appropriate human review?), and without accountability (who is responsible if something goes wrong?). In regulated industries or businesses handling sensitive client data, the exposure can be significant.

What to do about it

The response to shadow AI is not to ban AI use — that drives the problem further underground. The more effective approach is to acknowledge that employees are already using AI, create a clear and practical AI policy that covers common use cases, provide approved tools that are better than the unofficial alternatives, and build a culture where employees escalate uncertainty rather than assume it's fine. Boards should be asking management for a shadow AI assessment as part of standard AI governance oversight.
